Terms of Service

These terms are an agreement between Vensal ("we", "us") and the organization that uses Vensal ("you"). By creating an account or using the service, the person doing so confirms they can accept these terms on the organization's behalf.
1. The service
Vensal tracks, allocates, budgets, and forecasts your organization's AI spend. It reads cost and usage data from the AI providers you connect, once a day. It does not sit between your team and those providers, and it does not read the content of prompts or completions.
2. Your account
You're responsible for keeping your login details secure and for activity under your account. You may only connect provider accounts you are authorized to connect, using API keys you are allowed to share with us.
3. Free trial
New accounts get a 14-day free trial with no card required. When it ends without a plan, the account becomes read-only, and it is archived 15 days after that. Choosing a plan restores full access.
4. Plans, billing, and team size
- Plans are priced by the number of people whose AI spend Vensal tracks. If adding someone would exceed your plan, you'll be asked to upgrade first.
- Subscriptions are billed in advance, monthly or annually, through Stripe, and renew automatically until you cancel.
- Prices don't include taxes, which are added where required.
- If we change the price of your plan, we'll tell you at least 30 days before it applies to your subscription.
5. Cancellation and refunds
You can cancel at any time, and you keep access until the end of your paid period. Payments are non-refundable. Full details are in our Refunds & Cancellation policy.
6. Your data
You own the data you bring to Vensal. We use it only to provide and improve the service, as described in our Privacy Policy.
7. Acceptable use
Don't misuse the service: no attempts to access other customers' data, to disrupt or overload the service, to reverse engineer it, or to use it for anything unlawful.
8. Numbers and forecasts
Vensal's figures come from your providers' own reports, and providers sometimes revise recent figures. Forecasts are estimates based on your spending so far, not guarantees. Vensal is a tracking and planning tool, not accounting, tax, or financial advice — your provider invoices remain the authoritative record of what you owe them.
9. Changes to the service
We may add, change, or remove features over time. If a change materially reduces what you're paying for, we'll let you know in advance.
10. Disclaimers
The service is provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties, including merchantability and fitness for a particular purpose.
11. Limitation of liability
To the extent the law allows, we aren't liable for indirect, incidental, or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the amount you paid us for the service in the 12 months before the claim arose.
12. Suspension and termination
You can stop using Vensal at any time. We may suspend or end access if these terms are seriously breached or payment isn't made, and will tell you why where we reasonably can.
13. Changes to these terms
We may update these terms. For material changes, we'll notify account owners by email or in the app before they take effect.
14. Governing law
These terms are governed by the laws of the State of California. Any dispute will be resolved in the state or federal courts located in San Diego County, California.
